Rules for using the platform.

1. Definitions

In these Terms of Service, the following terms have the following meanings:

  • "Platform" means the oranit.community website, its subdomains, mobile interfaces, and all related services.
  • "Operator" means Sarius, the Osek Morshe of Ziv Cnossen, T.Z. 321583528, registered at Halivne 8b, 4481300 Oranit, Israel.
  • "User" means any person who accesses or uses the Platform in any capacity.
  • "Registered User" means a User who has created an account on the Platform.
  • "Customer" means a Registered User who has purchased a paid service.
  • "Listing" means a business profile, real estate listing, marketplace listing, or other content submission published on the Platform.
  • "Content" means any text, images, logos, descriptions, videos, or other materials submitted by a User or Operator.
  • "Services" means the paid packages and products offered on the Platform as described in these Terms and on the pricing pages.
  • "Open Data" means information aggregated from publicly accessible sources (public business registries, public websites, social media set to public, public directory feeds, and similar) and published on the Platform as a community directory service.
  • "Cooling-Off Period" means the 14 calendar-day window provided under Israeli Consumer Protection Law during which a Customer may cancel a paid service.

2. Acceptance of Terms

By accessing, browsing, registering on, or using the Platform in any way, you confirm that you have read, understood, and agree to be bound by these Terms of Service, together with our Privacy Policy.

Specifically, the following actions constitute affirmative acceptance of these Terms:

  • Creating a User account on the Platform
  • Claiming an existing business or professional profile that was admin-seeded from Open Data
  • Creating a new business, professional, real estate, vehicle, or marketplace Listing
  • Purchasing any paid Service
  • Submitting any Content to the Platform

If you are using the Platform on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms, and references to "you" include that entity.

If you do not agree to these Terms, you must not use the Platform.

3. About the Platform

oranit.community is a bilingual (Hebrew and English) local community platform serving the town of Oranit. The Platform provides a digital space for:

  • Local business and professional listings
  • A community marketplace for goods and services
  • Real estate listings for Oranit properties
  • Vehicle listings (cars, motorcycles, and similar)
  • Local events and community activity
  • Community giving, volunteering, and nonprofit visibility
  • Resident and business owner information and resources

The Platform is operated by the Operator and is independent of the Oranit Local Council and any municipal authority, unless explicitly stated otherwise in a specific section of the Platform.

4. User Accounts

4.1 Registration

Some features of the Platform require registration. When registering, you must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4.2 Account Responsibility

You must notify us immediately at info@oranit.community if you suspect unauthorized use of your account. The Operator is not liable for any loss or damage arising from your failure to protect your account credentials.

4.3 Eligibility

The Platform may be used by individuals aged 18 and over, or by minors acting with the consent and supervision of a parent or legal guardian. Business accounts may only be registered by persons authorized to act on behalf of that business.

5. Listings, Content, and Open-Data Directory

5.1 Open-Data Directory Model

The Platform operates as a community directory built on open and publicly available data. To provide a useful directory from launch, the Operator publishes Listings for businesses, professionals, real estate, and other entities active in Oranit, sourced from information in the public domain, including but not limited to:

  • Public business registries and the Israeli Business Database
  • Public-facing websites and social media profiles of the listed entity
  • Public directory feeds and aggregators (subject to applicable agreements)
  • Public press, news coverage, and community publications
  • Information voluntarily submitted by community members

All data displayed on the Platform is sourced from materials that, to the Operator's reasonable knowledge, were publicly accessible at the time of collection. The Operator does not claim exclusive ownership of factual information about businesses or properties, and does not assert proprietary rights over publicly available data points (such as business names, addresses, phone numbers, opening hours, or category classifications).

5.2 Removal Right (Right to Be Delisted)

Any individual, business, organization, or property owner may request removal of their information from the Platform at any time, for any reason, free of charge.

To request removal, contact info@oranit.community with:

  • The name of the business, individual, listing, or property
  • The URL or location of the Listing on the Platform
  • Confirmation that you are the rightful owner, an authorized representative, or the data subject

The Operator will action the removal request within 7 business days of receipt and confirm completion by email. The removal applies to:

  • Public visibility on the Platform (the Listing will no longer appear)
  • Search results and category browsing within the Platform
  • The Platform's sitemap and search engine indexing requests

The Operator may retain limited records of the removal request itself (timestamp, requester, listing reference) for compliance and audit purposes, in accordance with the Privacy Policy.

5.3 Claiming a Profile

If a business, professional, or property is represented on the Platform under an admin-seeded Open-Data Listing, the rightful owner or authorized representative may claim that Listing free of charge. Claiming a Listing:

  • Transfers editorial control of the Listing to the claiming party (subject to moderation)
  • Constitutes acceptance of these Terms in full
  • Activates the free Starter plan, with the option to upgrade to a paid package
  • Enables the Operator to send service-related communications regarding the Listing

The Operator reserves the right to verify ownership before approving a claim. Verification may include confirmation by email at a domain matching the business, by phone at a publicly listed number, or by other reasonable means.

5.4 Creating a New Listing

Registered Users may create new Listings in eligible categories. Creating a Listing constitutes acceptance of these Terms in full and an affirmation that the User has the authority and the rights necessary to publish the Content of that Listing.

5.5 Your Responsibility for Content

You are solely responsible for all Content you submit, claim, or modify on the Platform. By submitting or modifying Content, you confirm that:

  • The Content is accurate, truthful, and not misleading
  • You own the Content or have all necessary rights and permissions to submit it
  • The Content does not infringe any third-party intellectual property rights, including trademarks, copyrights, or trade secrets
  • The Content complies with all applicable Israeli laws and regulations
  • If submitting on behalf of a business, you are authorized to do so

5.6 Content License

By submitting or modifying Content on the Platform, you grant the Operator a non-exclusive, royalty-free, worldwide license to:

  • Host, store, and display the Content on the Platform
  • Format, resize, or adapt the Content for display purposes
  • Translate the Content into other languages using automated or manual translation
  • Promote the Content in connection with the Platform's marketing and discovery features
  • Maintain backup and operational copies as required

This license continues for as long as your Content remains on the Platform. You retain ownership of your Content. Withdrawing your Content (by closing the Listing or requesting removal) terminates the license going forward, subject to reasonable retention of backup and audit copies.

5.7 Prohibited Content

You may not submit Content that:

  • Is unlawful, fraudulent, defamatory, harassing, abusive, threatening, or discriminatory
  • Infringes any intellectual property right of any person or entity
  • Contains malware, viruses, or harmful code of any kind
  • Is spam, unsolicited advertising, or duplicate submissions
  • Misrepresents the identity, location, or nature of a business or property
  • Violates any applicable Israeli law or regulation

5.8 Intellectual Property and Open-Data Position

The Operator does not claim ownership of factual data points published in Open-Data Listings (such as a business's name, address, phone number, hours of operation, or category).

Where a third party believes that specific Content on the Platform infringes their intellectual property rights, including copyrighted text, original photography, or proprietary logos beyond standard trademark fair use, that party may submit a complaint to info@oranit.community. The Operator will:

  • Acknowledge receipt of the complaint within 3 business days
  • Review the complaint in good faith
  • Remove or modify the disputed Content within 7 business days where the complaint appears valid
  • Document the complaint and the action taken

The Operator's goal is a clean, accurate, and respectful directory. The Operator will not contest legitimate removal or correction requests.

5.9 Inactive Listings

Admin-seeded Open-Data Listings that have not been claimed by the rightful owner may be archived after 12 months of inactivity combined with low visitor traffic. Archived Listings are removed from public view but retained internally for a further period, after which they are permanently deleted, in accordance with the Privacy Policy.

6. Paid Services

6.1 Pricing and VAT

Pricing on the Platform is presented in accordance with Israeli law. The applicable VAT (מע"מ) is currently 18%. Two distinct presentation rules apply on the Platform, depending on the audience and the nature of the service:

Where any uncertainty exists about whether a particular price is presented including or excluding VAT, the matching pricing page on the Platform will state the applicable rule clearly. The tax invoice (חשבונית מס) issued for every transaction always shows the net amount, the VAT, and the gross total, regardless of how the price was presented at the point of purchase.

If the VAT rate changes by act of law or regulation, the new rate will apply to new transactions from the effective date of the change. Existing active subscriptions will continue at the originally agreed price until the end of the current billing period.

6.2 Package Options

The Platform offers paid packages for business listings, real estate broker subscriptions, private property listings, vehicle listings, marketplace listings, and customization services. Current pricing is published on the Platform's pricing page, presented in accordance with the rules set out in Section 6.1.

6.3 Payment

All paid services must be paid in advance before activation. The Operator uses a third-party payment provider to process payments. By completing a purchase, you agree to that provider's terms and conditions. The Operator does not store your full payment card details.

6.4 Activation

Paid listings are subject to admin review before going live. The Operator aims to review and activate listings within 2 business days of payment. Activation may be delayed or refused if the submitted Content violates these Terms.

6.5 Invoicing

A tax invoice (חשבונית מס) will be issued by Sarius through the Morning invoicing system for all paid transactions. The invoice will be delivered to the email address provided at registration or purchase.

6.6 Setup Fee

An optional one-time setup fee of 249 NIS (before VAT) is available for Base and Extended plans. When the setup fee is paid, the Operator's team will configure the listing on your behalf using materials you provide. The setup fee is non-refundable once setup work has been performed, as the service is considered materially delivered at that point.

6.7 Non-Payment and Suspension

For monthly plans, if payment is not received on the due date:

  • A 7-day grace period applies during which the listing remains live
  • Reminder notices will be sent during the grace period
  • If payment is not received by the end of the grace period, the listing will be suspended
  • The listing may be reactivated upon payment of the outstanding amount

6.8 Renewal

Annual plans do not renew automatically. The Operator will send renewal reminders 30 days and 7 days before expiry. If not renewed, the listing will be suspended on the expiry date.

7. Cancellation and Refunds

7.1 Statutory Basis

This refund policy is grounded in Israeli Consumer Protection Law (חוק הגנת הצרכן, התשמ"א-1981) and the Consumer Protection Regulations (Cancellation of Transaction), 2010 (תקנות הגנת הצרכן (ביטול עסקה), התש"ע-2010), as amended for distance and online sales.

Where these Terms grant you greater rights than the law requires, those greater rights apply. Where the law grants you greater rights than these Terms, the law prevails.

7.2 14-Day Cancellation Right

You have the right to cancel a distance purchase within 14 calendar days of the date of purchase, provided the service has not yet been fully performed. To exercise your cancellation right, contact info@oranit.community within 14 days of purchase, stating:

  • Your name and the email address used for the purchase
  • The order or invoice number
  • The Listing or Service to which the cancellation relates
  • Your intention to cancel

Cancellation requests received within the 14-day window will be processed under the calculation framework set out in Section 7.4.

7.3 What You Are Entitled To Recover

Israeli law allows the merchant to retain, on cancellation, the sum of: (a) the value of services already rendered up to the date of cancellation, calculated pro-rata, and (b) a reasonable cancellation fee. You are entitled to a refund of the remainder.

The cancellation fee permitted by law is the lower of:

  • 5% of the transaction value, or
  • 100 NIS

This fee is permitted regardless of the reason for cancellation, except where the cancellation is due to a defect in the service, a misrepresentation, or a breach of the agreement by the Operator, in which case no cancellation fee may be charged.

7.4 Refund Calculation Formula

Refunds for time-bound paid services (subscriptions, listing periods) are calculated as follows:

7.5 Setup Fee Treatment

The optional 249 NIS setup fee is treated separately from the time-bound subscription:

  • If setup work has not yet been performed, the full setup fee less the 5% cancellation fee is refundable
  • If setup work has been performed in part or in full, the setup fee is non-refundable, since the service has been materially delivered

7.6 Free Cancellation in Exceptional Cases

No cancellation fee will be applied, and any setup fee that has not been worked will be fully refunded, where the cancellation arises from:

  • A material defect in the Service
  • A factual misrepresentation by the Operator
  • A breach of these Terms by the Operator
  • A duplicate or erroneous charge

7.7 Refund Processing

Refunds are processed within 5 business days of the cancellation request being approved. Refunds are credited to the original payment method used for the purchase. Where the original method is unavailable (e.g., expired card), the Operator and the Customer will agree on an alternative method in writing.

For each refund, the Operator issues a credit invoice (חשבונית זיכוי) through the Morning invoicing system, which offsets the original tax invoice for accounting and tax purposes.

7.8 Outside the 14-Day Window

Outside the 14-day statutory cancellation window, refunds are not automatic. The Operator may grant discretionary refunds in exceptional circumstances at its sole discretion, applying the same calculation framework as a goodwill gesture. Mandatory consumer rights under applicable law always prevail over this policy.

8. Free Services

Free (Starter) Listings that have been claimed by the business owner are provided on a permanent free basis, subject to these Terms. The Operator reserves the right to:

  • Modify or restrict the features available on free plans
  • Archive unclaimed admin-seeded listings after 12 months of inactivity combined with low visitor traffic
  • Suspend or remove free listings that violate these Terms

Free listings carry no service guarantee. The Operator does not guarantee uptime, placement, or visibility for free listings.

9. No Guarantee of Results

The Platform provides visibility and discovery tools. The Operator does not guarantee, and makes no representation regarding:

  • The number of views, impressions, or visitors your Listing will receive
  • The number of inquiries, leads, or sales generated
  • Your Listing's ranking or placement in search results or category views
  • The conversion of Platform visibility into revenue or business outcomes
  • The accuracy of automated translations

Paid packages provide the features described at the time of purchase. They do not guarantee commercial results.

10. Content Moderation

The Operator reserves the right, at its sole discretion, to review, reject, edit, suspend, or permanently remove any Content or Listing that:

  • Violates these Terms or applicable law
  • Is found to be inaccurate, misleading, or fraudulent
  • Is deemed harmful to the reputation or integrity of the Platform or community
  • Is the subject of a legitimate third-party complaint

Where reasonably practicable, the Operator will notify you of a moderation decision and the reason for it. Disputes regarding moderation decisions may be raised at info@oranit.community and will be reviewed within 5 business days.

11. Intellectual Property

11.1 Platform IP

All design, code, software, original visual identity, and original editorial content created by or for the Operator on the Platform are the intellectual property of the Operator and are protected under applicable Israeli and international law. You may not copy, reproduce, distribute, or create derivative works from such Platform content without prior written permission.

11.2 Open-Data Position

As stated in Section 5.8, the Operator does not claim ownership of factual data points sourced from public information about businesses, properties, or other listed entities. Such factual data is treated as Open Data of the community. The Operator's contribution is in the curation, presentation, and infrastructure of the directory.

11.3 Third-Party Content

Some content on the Platform may originate from third-party sources, including automated data feeds. The Operator does not claim ownership of such content and will address legitimate intellectual property complaints promptly. If you believe your intellectual property rights have been infringed, please contact info@oranit.community with details of the claim. The complaint-handling process is set out in Section 5.8.

12. Third-Party Services and Links

The Platform may integrate with or link to third-party services (such as mapping, payment processing, translation, or data providers). The Operator is not responsible for the content, accuracy, availability, or practices of third-party services. Your use of third-party services is subject to their own terms and conditions.

13. Platform Availability

The Operator does not guarantee uninterrupted or error-free operation of the Platform. The Platform may be unavailable due to:

  • Scheduled or emergency maintenance
  • Third-party infrastructure failures (hosting, DNS, payment providers)
  • Internet connectivity issues outside the Operator's control
  • Force majeure events

The Operator will make commercially reasonable efforts to restore service promptly in the event of an outage.

14. Limitation of Liability

To the maximum extent permitted by applicable Israeli law, the Operator shall not be liable for:

  • Any indirect, incidental, consequential, or punitive damages
  • Loss of revenue, profits, business, or data
  • Damages arising from reliance on Platform Content submitted by Users
  • Disputes, fraud, or misconduct between Users
  • Errors or inaccuracies in automated data feeds or translations
  • Unauthorized access to your account due to your failure to protect your credentials

Where liability cannot be excluded by law, the Operator's total liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the total amount paid by you to the Operator in the 12 months preceding the claim.

15. Disputes Between Users

The Platform is a publishing and discovery service only. The Operator is not a party to any transaction, agreement, or dispute between Users (including between buyers and sellers in the marketplace, between tenants and landlords, or between service providers and their clients). The Operator bears no responsibility for the outcome of any such interaction.

16. Suspension and Termination

The Operator may suspend or terminate your account and/or any of your Listings without prior notice if:

  • You breach these Terms
  • Your Content is found to be unlawful, fraudulent, or harmful
  • Payment obligations are not met within the grace period
  • Continued operation of your account creates legal or reputational risk for the Platform

You may close your account at any time by contacting info@oranit.community. Closing your account does not automatically entitle you to a refund of any fees paid; refund eligibility is governed by Section 7.

17. Privacy

The collection and use of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the processing of your data as described in the Privacy Policy. A copy of the Privacy Policy is available at oranit.community/privacy.

18. Changes to These Terms

The Operator may update these Terms from time to time. Where changes are material, notice will be provided via email or a prominent notice on the Platform at least 14 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

The current version of these Terms is always available at oranit.community/terms.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Israel. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Israel, in the district of the Operator's registered address.
